1. Acceptance of Terms These Terms & Conditions (“Terms”) govern your use of Subzee’s website and mobile application (collectively, the “Platform”) and the services provided by Shantay Innovations LLP (“we”, “us”, “our”). By registering, accessing or using our services, you agree to be bound by these Terms, including our Privacy Policy. If you do not agree, please do not use our Platform. We may update these Terms from time to time. Continued use of the Platform after updates implies your acceptance of the revised Terms. 

2. Services Offered Subzee enables users to:
   2.1. Order fresh fruits and vegetables directly from Ludhiana’s wholesale market  
   2.2. Get next-day morning doorstep delivery (subject to operational limits)
   2.3. Pay using multiple options including wallet, UPI, cards, or COD Services are available within our defined serviceable areas. Availability may vary based on location, product stock and operational feasibility.

3. User Registration & Account
   3.1. To place an order, you must register on the Platform using a valid mobile number.
   3.2. You agree to provide accurate, complete and updated information (name, address, PIN code, contact details).
   3.3. You are responsible for maintaining the confidentiality of your login credentials and all activity on your account.
   3.4. Subzee reserves the right to suspend or terminate accounts found to be providing false information, violating Terms or engaging in fraudulent activities.

4. Product Pricing & Payment
   4.1. Prices shown on the Subzee App and Website are final prices and are inclusive of all applicable charges.
   4.2. There will be no price changes after order placement, ensuring full price transparency for customers.
   4.3. Payment Options: Subzee Wallet, UPI, debit/credit cards, net banking, and Cash on Delivery (COD) where available.
   4.4. In case of payment failures or duplicate payments, refunds will be processed within 5–7 working days to the original payment method or to the Subzee Wallet. 

5. Orders, Cancellations & Delivery
   5.1. Cut-Off Time: Orders are accepted until 10:00 PM daily for next-day delivery.
   5.2. Orders cannot be modified once placed but can be cancelled before the cut-off time.
   5.3. Subzee reserves the right to cancel or modify orders due to product unavailability, operational constraints or unforeseen events.
   5.4. Users must be available at the delivery address during delivery hours (typically 7:00 AM – 12:00 PM). 

6. Returns, Refunds & Replacements
      6.1. As fruits and vegetables are perishable, returns are not accepted after delivery.
      6.2. Refunds/credits are provided in the following cases:
               6.2.1. Order cancellation before the cut-off time
               6.2.2. Unavailability of items (amount will be refunded/adjusted)
               6.2.3. Damaged/spoiled items (complaint must be raised within 2 hours of delivery with photo proof)
      6.3. Refunds are credited to the Subzee Wallet or original payment method within 24–72 hours (wallet) or 5–7 business days (bank).

7. Subzee Wallet
       7.1. The Subzee Wallet is a prepaid payment instrument for faster checkouts and refunds.
       7.2. Wallet balance cannot be withdrawn in cash and must be used for future orders.
       7.3. Subzee reserves the right to suspend wallet use in case of misuse or suspicious activity.

8. User Responsibilities & Conduct You agree NOT to:
        8.1. Use the Platform for resale or commercial purposes without authorization
        8.2. Provide false, incomplete or misleading information
        8.3. Attempt to interfere with, hack or damage the Platform’s operation
        8.4. Refuse orders repeatedly without valid reason (may result in account suspension)

9. Subzee’s Commitment We commit to:
        9.1. Procuring fresh, high-quality produce daily from wholesale markets
        9.2. Maintaining transparent pricing and fair weight practices
        9.3. Delivering within committed timelines, subject to external factors (traffic, weather, strikes)

10. Intellectual Property Rights All content, trademarks, logos and design on the Platform are the exclusive property of Shantay Innovations LLP. Unauthorized copying, modification or use is prohibited.

11. Limitation of Liability
        11.1. Subzee is not liable for delays caused by force majeure events (weather, traffic, strikes, natural disasters).
        11.2. Slight variations in weight, size or appearance of produce are natural and acceptable.
         11.3. Our maximum liability for any claim shall not exceed the value of the disputed order.

12. Termination We reserve the right to suspend, restrict or terminate your access if you:
          12.1. Breach these Terms
          12.2. Engage in fraudulent activity
          12.3. Misuse the Platform

13. Governing Law & Dispute Resolution These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of courts in Ludhiana, Punjab.
